1. Acceptance of Terms

Welcome to easymentors.com (the "Website" or "Service"), operated by Helmstrat Private Limited ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our Website and the services we provide, which include connecting users ("Mentees") with experts ("Mentors") for booking and conducting appointments. By accessing, browsing, or using the Website, creating an account, or booking an appointment, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

• "Mentee" refers to a user who registers an account to seek and book mentoring services.
• "Mentor" refers to an expert who registers an account to offer and provide mentoring services through the platform.
• "User" refers to any user of the Service, whether a Mentee, Mentor, or casual visitor.
• "Content" refers to all information, text, graphics, photos, profiles, messages, notes, and other materials posted or shared on the Service.

3. User Accounts and Registration

a. Eligibility:

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you are of legal age and have the right, authority, and capacity to enter into and abide by these Terms.

b. Account Creation:

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

c. Account Security:

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

d. Account Types:

You may register as a Mentee or a Mentor. Your use of the Service will be governed by these general Terms, with additional responsibilities for Mentors as outlined in Section 6.

4. Booking and Financial Terms

a. Booking Services:

The Service allows Mentees to browse Mentor profiles, check availability, and book paid or free appointments ("Sessions") with Mentors.

b. Payments:

If you decide to make a payment, all such payments for sessions are at your own risk and cost and we have no role, liability or responsibility thereof. You may agree to mentors terms and conditions if you desire to do so. We do not store your full credit card details.

c. Fees:

For the time being there are no fees. However, in future Mentors may set their own fees for their Sessions. By booking a Session, you agree to pay the total amount displayed at the time of booking.

d. Refund and Cancellation Policy:

Each Mentor is responsible for setting their own cancellation and rescheduling policy. It is the responsibility of both the Mentee and the Mentor to be aware of and adhere to these policies. We act as a facilitator and is not responsible for enforcing individual Mentor policies. However, we may, at our sole discretion, assist in resolving disputes.

5. User Conduct and Responsibilities

As a user of the Service, you agree NOT to:

• Use the Service for any illegal or unauthorized purpose.
• Harass, abuse, threaten, or intimidate any other user.
• Post or transmit any Content that is defamatory, obscene, pornographic, offensive, or promotes discrimination.
• Impersonate any person or entity or falsely state your affiliation with a person or entity.
• Interfere with or disrupt the Service or servers connected to the Service.
• Use any robot, spider, or other automated means to access the Service for any purpose.
• Attempt to gain unauthorized access to any part of the Service or another user's account.

6. Specific Responsibilities of Mentors

If you register as a Mentor, you additionally agree:

a. Representations:

You represent and warrant that you have the necessary qualifications, expertise, and experience in the fields you offer to mentor in.

b. Professionalism:

You will provide your services with a professional level of skill, care, and diligence.

c. Independent Contractor:

You acknowledge and agree that your relationship with Helmstrat Private Limited is that of an independent contractor. You are solely responsible for any taxes on the income you earn through the platform. You are not our employee, agent, or partner.

d. Client Relationship:

The mentoring relationship is directly between you and the Mentee. We are not a party to that relationship and are not liable for any advice or information exchanged during a Session.

7. Intellectual Property Rights

a. Our Content:

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Helmstrat Private Limited and its licensors. The Service is protected by copyright, trademark, and other laws.

b. Your Content:

You retain all ownership rights to the Content you post on the Service. However, by posting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that Content for the purpose of operating and providing the Service to you.

c. Trademarks:

"easymentors.com" and our logos are our trademarks. You may not use them without our prior written permission.

8. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY MENTOR'S PROFILE, ADVICE, OR INFORMATION PROVIDED DURING A SESSION. ALL MENTORING ADVICE IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL (E.G., MEDICAL, LEGAL, FINANCIAL) ADVICE. YOU ARE SOLELY RESPONSIBLE FOR ANY ACTIONS YOU TAKE BASED ON INFORMATION RECEIVED THROUGH THE SERVICE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Helmstrat Private Limited, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:(I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;(II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (E.G., A MENTOR OR MENTEE) ON THE SERVICE;(III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR USE OF THE SERVICE IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO US WITHIN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to defend, indemnify, and hold harmless Helmstrat Private Limited and its licensors and suppliers from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) relating to or arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through final and binding arbitration, rather than in court. The arbitration shall be conducted by a single arbitrator under the rules of Helmstrat Private Limited in Islamabad, Pakistan.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any change constitutes your acceptance of the new Terms.
